Terms of Service

1. Acceptance of Terms
By accessing or using TermDrift (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree to these Terms, do not use the Service.
We may update these Terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. We will make reasonable efforts to notify registered users of material changes via email or an in-app notice.
2. Description of Service
TermDrift is a monitoring service that periodically retrieves publicly-accessible documents — including terms of service, service-level agreements, master service agreements, data processing agreements, and privacy policies — and notifies subscribers when changes are detected. The Service also provides automated AI-generated summaries and risk assessments of detected changes.
The Service may additionally generate “fairness scores” — automated, AI-generated assessments that rate how balanced or client-favourable a document’s terms appear across a fixed set of contract areas. These scores are produced by an AI model applying the same published scoring rubric to every document, are inherently approximate and may be inaccurate, incomplete, or out of date, and represent an automated opinion rather than a statement of fact. Fairness scores do not constitute legal advice, are not a substitute for professional review of a contract, and are not binding on TermDrift, any vendor, or any other party. Two different documents with the same score are not equivalent, and a score should not be relied upon when making contracting, purchasing, or legal decisions.
The Service is provided on an informational basis only. It does not constitute legal, compliance, financial, or professional advice of any kind. You are solely responsible for reviewing detected changes, fairness scores, and the underlying documents, and for determining what action, if any, to take.
3. No Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, TermDrift expressly disclaims all warranties, including but not limited to:
- any warranty that the Service will be uninterrupted, timely, secure, or error-free;
- any warranty that monitored documents will be scraped accurately, completely, or at any particular frequency;
- any warranty that all changes to monitored documents will be detected — changes may be missed due to technical limitations, third-party access restrictions, scraping failures, or any other reason;
- any warranty as to the accuracy, reliability, completeness, or usefulness of AI-generated summaries, risk scores, or risk assessments — these are automated outputs and may be incorrect, incomplete, or misleading;
- any warranty of merchantability, fitness for a particular purpose, or non-infringement.
You acknowledge that TermDrift does not control the availability, accuracy, or content of any third-party documents being monitored, and that third parties may change, restrict, or remove access to those documents at any time without notice.
4. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TERMDRIFT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Without limiting the foregoing, TermDrift accepts no liability whatsoever for:
- any failure to detect or notify you of a change to a monitored document, regardless of cause;
- any reliance placed on an AI-generated risk assessment or summary that proves to be inaccurate or incomplete;
- any legal, regulatory, contractual, or commercial consequences arising from changes to vendor documents, whether detected or undetected;
- any interruption, delay, or failure of the monitoring or notification infrastructure;
- any loss or corruption of data stored within the Service.
In jurisdictions that do not allow the exclusion or limitation of incidental or consequential damages, our liability is limited to the greatest extent permitted by law. In all cases, our total aggregate liability to you for any claim arising out of or relating to the Service shall not exceed the amounts you paid to us in the three (3) months immediately preceding the event giving rise to the claim, or one hundred US dollars (USD 100), whichever is greater.
5. Indemnification
You agree to indemnify, defend, and hold harmless TermDrift and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any applicable law or the rights of any third party.
6. Feedback and Suggestions
If you submit any feedback, ideas, suggestions, enhancement requests, recommendations, or other input relating to the Service or our products (“Feedback”), you hereby irrevocably assign to TermDrift all right, title, and interest in and to that Feedback, including all intellectual property rights therein, worldwide and in perpetuity.
TermDrift shall be free to use, reproduce, disclose, modify, create derivative works from, and otherwise exploit any Feedback for any purpose whatsoever, commercial or otherwise, without restriction, compensation, attribution, or obligation to you. You waive any moral rights or similar rights you may have in such Feedback to the extent permitted by applicable law.
You represent that any Feedback you submit does not contain confidential or proprietary information belonging to any third party and that you have the right to make the assignment set out above.
7. Accounts and Access
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account. TermDrift is not liable for any loss or damage arising from your failure to safeguard your credentials.
You agree to provide accurate, current, and complete information when registering and to keep that information updated. We reserve the right to suspend or terminate accounts that contain false or misleading information.
8. Acceptable Use
You agree not to:
- use the Service to monitor documents in a manner that violates applicable law or the terms of service of any third party;
- use automated means to access the Service beyond the intended API or user interface, except as expressly permitted in writing;
- attempt to reverse engineer, decompile, or otherwise derive source code from any part of the Service;
- interfere with or disrupt the integrity or performance of the Service or its infrastructure;
- resell or sublicense access to the Service without our prior written consent.
9. Billing and Subscriptions
Paid plans are billed in advance on a monthly basis. All fees are non-refundable except as required by applicable law. We reserve the right to change pricing at any time, with advance notice given to active subscribers. If you do not agree to a price change, you may cancel before the next billing period.
Failure to pay may result in suspension or termination of your account. We are not liable for any consequences of such suspension or termination.
10. Termination
We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately.
You may cancel your subscription at any time via your account settings. Sections 3, 4, 5, 6, and 11 survive any termination of these Terms.
11. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Nothing in this clause limits our right to seek injunctive or other equitable relief in any jurisdiction.
12. General
Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and TermDrift regarding the Service and supersede all prior agreements.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
No waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Assignment. You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign our rights and obligations freely.
